Subject: Notice of the dissolution of our subsidiary Societe Anonyme Company ΙΝΜΑΙΝΤ
The Societe Anonyme trading under the name “INTRACOM CONSTRUCTIONS SOCIETE ANONYME TECHNICAL AND STEEL CONSTRUCTIONS” (trade name INTRAKAT) announces to the investing public the dissolution/division of its subsidiary societe anonyme, 62% of the shares of which are owned by INTRAKAT, trading under the name “ΙΝ.ΜΑΙΝΤ MAINTENANCE AND FACILITY REPAIRS SOCIETE ANONYME – PRIVATE SECURITY SERVICES PROVIDER”, with distinctive trade name ΙΝ.ΜΑΙΝΤ (GCR No. 5593801000, old Societe Anonyme Register No. 56101/04/Β/04/16), having its registered office in the Municipality of Paiania, Attica (19th km. Paiania – Markopoulo Avenue), in two divisions; the first being absorbed by the 1st beneficiary societe anonyme trading under the name “INTRAPOWER ENERGY PROJECTS SOCIETE ANONYME”, with distinctive trade name “INTRAPOWER” (GCR No. 121798101000, old Societe Anonyme Register No. 69505/04/Β/10/59) which has its registered office in the Municipality of Paiania (19th km. Paiania – Markopoulo Avenue) and the second being absorbed by the 2nd beneficiary societe anonyme trading under the name “IOANNIS VALSAMIDIS SOCIETE ANONYME”, with distinctive trade name “inVIte” and GCR No. 007549501000, having its registered office in the Municipality of Paiania (junction of Β. Georgiou Street & Pan. Stamou).
The above-described dissolution/division was approved by the Prot. No. 5082 – 31/08/2017 Resolution of the Vice-Prefect of the Prefecture of Eastern Attica (No: ΩΟΑ47Λ7-911), which was submitted to the General Commercial Register (G.C.R.) on 31/08/2017, με with Registration Code No. 1151672, and took place according to mthe provisions of articles 81 para. 2 and 82-86 of Codified Act No. 2190/20, in combination with article 54 of Act No. 4172/2013, the No. 42.021/29-08-2017 dissolution contract of the Notary Public of Athens Mr. Georgios Stephanakos, son of Thomas, the Valuation Report dated on 08/08/2017 of the Committee provided in art 9 of Codified Act No. 2190/1920, for the calculation of the value of the assets of the dissolved/divided company, based on the Conversion Budget dated 31/12/2016 and the Resolutions of the Extraordinary General Meetings of the shareholders of the three societe anonymes dated 21/08/2017.
As a result of the above, the above-mentioned societe anonyme trading under the name “ΙΝ.ΜΑΙΝΤ MAINTENANCE AND FACILITY REPAIRS SOCIETE ANONYME – PRIVATE SECURITY SERVICES PROVIDER”, with distinctive trade name ΙΝ.ΜΑΙΝΤ and GCR No. 5593801000, was deleted from the General Commercial Register.
